These Disclosures supplement (and do not replace) the Vixr Terms & Conditions. Capitalised terms not defined here have the meaning given in the Terms.
1. Not investment advice
Vixr provides model-assisted market analysis, event detection, and research tools, including outputs that may be displayed as "signals," "setups," "assessments," "watchlist events," or similar labels (collectively, Signals). Signals are generalised model outputs for informational and educational purposes only.
Vixr is not acting as your investment adviser, broker-dealer, financial planner, tax adviser, legal adviser, or accountant. Nothing on the Service is intended to be (or should be construed as) investment advice, personalised advice, a recommendation, or a solicitation to buy, sell, or hold any security or other financial instrument.
Vixr does not know your financial situation, risk tolerance, investment objectives, time horizon, portfolio composition, or tax circumstances, and the Service does not provide individualised advice.
All trading and investment decisions are made solely by you. If you need advice, consult a qualified, licensed professional.
2. Risk of loss
Trading and investing in stocks, options, and other securities involves substantial risk and is not appropriate for all investors. Without limiting the generality of the foregoing, risks include:
- Market risk: prices can move against you and you may lose some or all of your capital.
- Volatility and event risk: prices can move sharply — especially around earnings, SEC filings, macro events, news, or other disclosures.
- Liquidity risk: you may be unable to enter or exit a position at a desired price (or at all), particularly during stressed markets or outside regular market hours.
- Gap risk: prices can open materially higher or lower than the prior close, especially around events.
- Leverage and margin risk: if you use margin or leveraged instruments, losses can exceed your initial investment and you may face margin calls or liquidation.
- Options risk: options are complex instruments; they can lose value rapidly and expire worthless; certain strategies can create large or theoretically unlimited losses.
- Concentration risk: acting on a small number of signals can create concentrated exposures.
- Short-selling risk (if applicable): short positions can have theoretically unlimited losses and can be impacted by borrow constraints and forced buy-ins.
Only trade with money you can afford to lose.
3. No guarantees of performance
Vixr does not guarantee the accuracy, completeness, or usefulness of any Signal, analysis, research output, or other content.
Any performance metrics that may be displayed (including direction accuracy, average move, conviction calibration, validation results, or model statistics) are provided for informational purposes only and may not reflect fees, commissions, spreads, financing costs, borrow costs, taxes, or market impact.
Past performance (including backtested or paper/simulated results) does not guarantee future results. Strategies that performed well historically may perform poorly or fail under future market conditions.
4. AI and model limitations
Signals and analytics on Vixr are generated using statistical and machine-learning methods trained on historical data. You understand and agree that:
- Model outputs are probabilistic and can be wrong, including when labelled "high confidence." Confidence scores are not guarantees.
- Models may fail under new or unusual market regimes, structural breaks, or during market stress.
- Models can be affected by design limitations, including overfitting, look-ahead bias, survivorship bias, selection bias, and other forms of model risk.
- Data inputs (including filings, transcripts, and price/volume feeds) may be delayed, incomplete, inaccurate, re-stated, corrected, or unavailable.
- Latency and timing matter: by the time you view a Signal, market conditions may have changed and displayed prices may not reflect current executable prices.
- System availability: Vixr may experience outages, delays, bugs, or degraded performance, and you should not rely on uninterrupted operation.
5. Market data and third-party sources
Market data and certain content displayed on Vixr are provided by third-party sources. Such data and content are provided "as is" and may be delayed, incomplete, or inaccurate.
Prices, quotes, volumes, corporate actions, and market status shown on Vixr may differ from what your broker displays and may not reflect the price at which you can actually trade.
Always confirm prices, positions, and order details directly with your broker before executing trades.
Vixr does not execute trades, does not route orders, does not accept or hold customer funds, and does not provide brokerage or custody services.
6. Hypothetical, simulated, and backtest results
Where Vixr displays hypothetical, simulated, or backtested performance (Hypothetical Performance):
- Hypothetical Performance is not actual trading and does not reflect the results of a real account.
- Hypothetical Performance may not include slippage, transaction costs, commissions, fees, spreads, taxes, financing costs, corporate-action frictions, borrow costs, or market impact, and any of these may materially change results.
- Results depend heavily on assumptions (e.g., signal timing, entry/exit rules, fill model, liquidity assumptions, portfolio sizing, and risk controls). Small assumption changes can produce materially different outcomes.
- Backtests can be affected by hindsight bias, survivorship bias, and data quality issues.
- Actual results may differ materially and could be significantly worse.
Additional regulatory standards may apply to simulated or hypothetical performance presentation under CFTC and NFA rules; Vixr will provide any required legends and disclosures where applicable.
7. No fiduciary duty
You understand and agree that Vixr has no fiduciary relationship with you. Vixr is not acting as your agent, adviser, or representative. You remain solely responsible for evaluating the merits and risks of any trade.
8. Regulatory status and jurisdictional limits
The Service is not intended for distribution to, or use by, any person in any jurisdiction where such distribution or use would be contrary to law or regulation. You are responsible for complying with all laws and regulations that apply to you.
9. Conflicts of interest
Vixr and its personnel may have financial interests that could conflict with yours. For example, employees, contractors, or affiliates may hold positions in securities or instruments that are discussed or analysed on the Service.
Vixr maintains controls intended to manage conflicts of interest (which may include trading restrictions, monitoring, and/or disclosure practices). However, conflicts can still arise and may impact you.
Vixr may receive compensation from third parties (such as referral fees or affiliate marketing arrangements). If so, Vixr will disclose the material terms of such relationships where required.
10. Tax considerations
Vixr does not provide tax advice. Trading and investing can have tax consequences. You are responsible for determining and meeting your tax reporting and payment obligations. Consult a qualified tax professional for advice.
11. Options risk disclosure document
If you trade options, you should review the industry-standard options risk disclosures made available by the options clearing system (often referred to as the "Options Disclosure Document" or "Characteristics and Risks of Standardised Options") before buying or selling options.
